By accessing or using StackMatch, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our platform.

Our platform allows you to submit, post, and share content including but not limited to RFPs, proposals, forum posts, reviews, and other materials ("User Content").
Ownership: You retain ownership of any User Content you submit to StackMatch.
License Grant: By submitting User Content, you grant StackMatch a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your content solely for the purpose of operating and improving our service, facilitating matches between buyers and vendors, and promoting our platform.
Content Standards: You agree that your User Content will not:
We reserve the right to remove any User Content that violates these Terms or that we deem objectionable, without prior notice.
StackMatch offers various subscription tiers with different features and pricing. Details of available plans are displayed on our pricing page and may change from time to time.
Free Tier: We offer a free tier with limited features. Free tier users may have restrictions on the number of RFPs they can create, proposals they can submit, or other platform features.
Free Trials: We may offer free trials of paid subscription plans. Unless you cancel before the end of the trial period, your trial will automatically convert to a paid subscription, and you will be charged the applicable subscription fee. You may cancel your trial at any time before conversion by managing your account settings.
Feature Access: Access to certain features depends on your subscription tier. We may modify the features included in each tier at any time.
Paid features of StackMatch require payment. By subscribing to a paid plan, you agree to the following:

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion.
The StackMatch platform, including its software, design, logos, graphics, text, and all other content created by us ("StackMatch Content"), is owned by Stack Holdings LLC and is protected by copyright, trademark, and other intellectual property laws.
The StackMatch name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stack Holdings LLC. You may not use such marks without our prior written permission.
You are granted a limited, non-exclusive, non-transferable license to access and use StackMatch Content solely for your personal or internal business purposes in connection with your use of the service. You may not copy, modify, distribute, sell, or lease any part of our service or StackMatch Content without our express written consent.
You retain all ownership rights in the User Content you submit to StackMatch. By submitting User Content, you grant us a license as described in Section 4 (User-Generated Content).
You represent and warrant that you have all necessary rights to submit your User Content and grant the licenses described herein, and that your User Content does not infringe on the intellectual property rights of any third party.
Aggregated Data: We may use anonymized and aggregated data derived from your use of the service for analytics, benchmarking, and improving our platform. Such aggregated data will not identify you or your organization.
We welcome and appreciate feedback, suggestions, ideas, and recommendations for improving our service ("Feedback"). If you provide Feedback to us, you agree that:
From time to time, StackMatch may offer promotions, contests, sweepstakes, or similar programs ("Promotions"). Participation in any Promotion is subject to the specific rules and terms governing that Promotion.
We reserve the right to modify, suspend, or cancel any Promotion at any time, for any reason, without liability to you. Any Promotion is void where prohibited by law.
StackMatch may integrate with or contain links to third-party websites, services, or applications ("Third-Party Services"). These Third-Party Services are not under our control, and we are not responsible for their content, privacy policies, or practices.
Your use of Third-Party Services is at your own risk and subject to the terms and conditions of those services. We encourage you to review the terms and privacy policies of any Third-Party Services you access.
The inclusion of any link or integration does not imply endorsement by StackMatch of the linked site or service.
THE STACKMATCH SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

While we strive to maintain high availability, we do not guarantee any specific uptime. We may perform scheduled maintenance that temporarily affects service availability, and we will endeavor to provide advance notice when possible.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKMATCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless StackMatch, Stack Holdings LLC, and our officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Termination by You: You may terminate your account at any time by contacting us or using the account settings in your dashboard. Upon termination, your right to use the service will immediately cease.
Termination by Us: We may suspend or terminate your account and access to the service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or extended inactivity.
Effect of Termination: Upon termination, your license to use the service terminates, and we may delete your account and associated data. We will retain and delete your data in accordance with our Privacy Policy.
Survival: The following sections shall survive termination: Intellectual Property, Feedback, Warranty Disclaimer, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.
Governing Law: These Terms and your use of the service shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.
Informal Resolution: Before initiating any formal dispute resolution, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
Arbitration: If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Maricopa County, Arizona.
Class Action Waiver: YOU AND STACKMATCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and StackMatch regarding the service.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, or actions of civil or military authorities.
Changes to Terms: We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the platform. Your continued use of the service after such changes constitutes acceptance of the modified Terms.
